3. Eligibility

By using our website and services, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction.
• You have the legal capacity to enter into binding contracts.
• You are using our services for business purposes or legitimate inquiries related to cosmetics manufacturing.
• All information you provide to us is accurate, complete, and current.

4. Services and Products

We offer a range of cosmetics manufacturing services including:

• Private Label Manufacturing
• Contract Manufacturing
• Customized Packaging Solutions
• R&D and Formulation Development
• Quality Testing and Compliance

All products and services are subject to availability. We reserve the right to modify, suspend, or discontinue any service at any time without notice. Product specifications, formulations, and packaging options may vary based on client requirements and regulatory compliance.

5. Orders and Quotes

All orders for manufacturing services are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including but not limited to:

• Product availability or raw material constraints
• Pricing errors or inaccuracies
• Compliance or regulatory issues
• Client payment or credit issues

Quotes provided are valid for 30 days from the date of issue unless otherwise stated. Final pricing will be confirmed in the manufacturing agreement.

6. Pricing and Payment

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are subject to change without notice. Payment terms will be specified in your manufacturing agreement or invoice. Standard payment terms require:

• 50% advance payment to begin production
• 50% balance payment before shipment

We accept payments via bank transfer, credit card, and other approved methods. Late payments may incur interest charges or suspension of services.

7. Minimum Order Quantities (MOQs)

Minimum order quantities apply to all manufacturing services. Standard MOQs are:

• Private Label: 500 units per SKU
• Contract Manufacturing: 500 units per SKU (varies by product type)
• Custom Formulation: MOQ determined based on complexity and ingredients

MOQs may be adjusted based on product type, formulation complexity, and raw material availability.

8. Custom Formulations and Intellectual Property

Custom formulations developed by our R&D team remain our intellectual property unless otherwise agreed in writing. Upon full payment for formulation development, you receive a non-exclusive license to use the formulation for your brand. You may not:

• Share or sell the formulation to third parties
• Reverse engineer or replicate our proprietary processes
• Use our formulations for competing products without permission

Your brand trademarks, logos, and packaging designs remain your intellectual property. We will not use your branding for any other client.

9. Production and Delivery

Production timelines are estimated and may vary based on order complexity, raw material availability, and current production schedule. Estimated lead times are typically 4-6 weeks from formula approval. We are not responsible for delays caused by:

• Raw material shortages or supply chain issues
• Shipping carrier delays
• Customs or regulatory clearance delays
• Force majeure events

Shipping costs and delivery timelines will be provided at the time of order. Risk of loss transfers to you upon shipment.

10. Quality and Returns

All products undergo rigorous quality control testing before shipment. If products arrive damaged or defective, you must notify us within 7 days of receipt. We will:

• Review the issue and determine cause
• Replace defective products at our cost if manufacturing error is found
• Provide refunds or credits as appropriate

We do not accept returns for custom formulations or personalized products unless defective. Please inspect all shipments immediately upon arrival.

11. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of HUK Cosmetics or our licensors and is protected by copyright and intellectual property laws. You may not:

• Copy, reproduce, or distribute our content without permission
• Use our trademarks or branding without written consent

You retain ownership of your brand materials, including logos, packaging designs, and product concepts submitted to us.

12. Confidentiality

Any confidential information shared between parties, including formulations, business strategies, pricing, and client data, shall be kept strictly confidential. This obligation survives termination of our agreement. We will not disclose your confidential information to third parties except as required to fulfill your order or as required by law.

13. Limitation of Liability

To the maximum extent permitted by law, HUK Cosmetics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption arising from your use of our website or services. Our total liability shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless HUK Cosmetics, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising from:
